End-User License Agreement

1. Licence grant

Subject to payment and these terms, Christoph Kahse, trading as EINAUX, grants the customer a personal, non-exclusive, worldwide, perpetual single-user licence to install and use the EINAUX software product for which the licence was purchased or granted (for example ACENTAUR or AUTUMI, the “Software”) for lawful music, sound-design, recording, mixing, transcription and post-production work.

The licence is to the Software, not a transfer of copyright or ownership. It may be used for private and commercial productions. It may not be shared as a studio-wide, classroom, rental or service-bureau licence unless EINAUX agrees in writing.

2. Trial, Demo and NFR licences

A Trial or Demo, where offered, is bound to the eligible Mac on which it is started and to the limits displayed before activation, such as its duration or the amount of material it may process. Starting a Trial or Demo requires acceptance of this EULA and the Terms of Sale. A Trial or Demo may be converted to a paid licence without installing a separate product build. A machine that has already used a Trial or Demo of the same product is normally ineligible for another; support may reset a legitimate second-hand-machine case after reasonable verification.

An NFR licence is account-bound, is not transferable or for resale and may have an expressly stated expiry date. NFR status does not reduce mandatory statutory rights where such rights apply.

3. Activation and device transfers

Use of the Software requires an active entitlement. The number of Macs that may be activated is shown for each product and licence type before purchase or activation. The licensee may manage available devices through the account portal. Support can review a reasonable exceptional request, for example after a repair, theft or replacement Mac.

Internet access is required for account access, downloads, initial activation and occasional licence validation. A connectivity failure must not delete projects, recordings, generated audio or MIDI, or local history.

4. Permitted output use

EINAUX claims no ownership in audio or MIDI created by the customer through the Software. Any rights or restrictions arising from an applicable model licence remain separate from the licence to the Software.

5. Restrictions

Except where mandatory law expressly permits it, the customer may not:

  • sell, sublicense, rent, lend, distribute or make the Software or its licence entitlement available to another person;
  • circumvent activation, entitlement checks or access controls;
  • reverse engineer, decompile or disassemble the Software beyond what mandatory interoperability law permits;
  • remove proprietary notices or misrepresent the origin of the Software;
  • use the Software for unlawful content, rights infringement, malware or fraud.

6. Third-party and model components

Model weights are not included in the purchase of the Software. At the customer's request, the Software's setup or settings application downloads selected third-party model weights from Hugging Face, which may include conversions prepared by EINAUX. The underlying models remain governed by the applicable upstream licences and use restrictions, which the customer must comply with; EINAUX does not license the underlying models.

The licences, use policies and notices that apply to a product's models are supplied with each model package and listed for each product. Supporting third-party software included with the Software remains governed by its own notices and licences, which are supplied with the Software. The restrictions in this EULA do not apply to such components to the extent their licences grant additional rights; where a component is licensed under the LGPL, the customer may modify or replace it and reverse engineer the Software as far as necessary for that, as its licence permits. The matching notices, source code and replacement instructions are supplied with the Software and available in the customer account.

7. Updates

EINAUX may provide maintenance, compatibility and security updates. Updates required by mandatory digital-product law will be supplied for the legally required period. No promise is made that all future features, model families or major product generations are included without charge.

8. Suspension and termination

A paid perpetual licence is not arbitrarily revocable. EINAUX may suspend or revoke an entitlement only for a documented reason such as a full refund or payment reversal, fraud or unauthorized payment, a replaced or compromised entitlement, a binding legal requirement or a material breach of this EULA. Where reasonable, EINAUX will provide notice and an opportunity to remedy or contest the issue.

During an unresolved payment dispute, EINAUX may temporarily prevent new activations and device transfers. Suspension or revocation does not remotely delete DAW projects, recordings or previously generated audio or MIDI. On termination for material breach, the customer must stop using and delete the affected EINAUX software, except where applicable law permits retention. Separately obtained model files remain subject only to their applicable third-party terms.

9. Statutory rights and liability

The conformity, remedies and liability provisions in the Terms of Sale apply to this EULA. Nothing in this agreement excludes mandatory consumer rights or liability that cannot lawfully be limited.

10. Governing law, version and contact

German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. Consumers retain mandatory protection under the law of their country of habitual residence. Jurisdiction is determined by applicable law.
